Terms of Service
In plain language
Signet is licensed software, not purchased software. Your institution may use it for as long as it likes, at no cost, and everything your institution puts into it — people, sessions, attendance, credentials — belongs to your institution and can be taken out at any time. The software itself remains Pulse Pedagogies’s, and Pulse Pedagogies may license it to others.
The licence cannot be taken away except for serious, uncured breach, and no fee can appear later. Pulse Pedagogies may not name your institution as a customer or use your deployment as a sales reference without your written permission, and anyone working for Pulse Pedagogies who also works for your institution takes no part in your institution’s decisions about the Service.
This summary is for orientation only. The numbered sections below are the agreement.
1. Parties and scope
These Terms govern use of Signet (the “Service”), provided by Pulse Pedagogies, LLC (“Pulse Pedagogies”, “we”), by the institution licensed to operate an instance of it (the “Institution”) and by the individual users the Institution authorizes. Where a separate written agreement exists between Pulse Pedagogies and the Institution, that agreement controls to the extent of any conflict.
2. Licence grant
Pulse Pedagogies grants the Institution a non-exclusive, non-transferable, royalty-free, perpetual and irrevocable licence to access and use the Service for its own internal educational and professional-learning purposes. Pulse Pedagogies may not revoke this licence except for material breach under Section 10; the Institution may end it at any time, for any reason, at no cost.
No consideration passes to Pulse Pedagogies, now or later. There is no fee, deferred fee, subscription, renewal charge, support charge, or per-user cost for the Service as licensed here, and no term of these Terms converts to a paid arrangement by lapse of time, growth in usage, or renewal. The Institution is under no obligation to purchase anything from Pulse Pedagogies at any time. Any future paid arrangement between the parties would require a separate written agreement entered through the Institution’s ordinary procurement process, and nothing here anticipates, prices, or creates a preference for one.
The licence does not include any right to:
- sublicense, resell, or provide the Service to a third party as a service;
- copy, decompile, or create derivative works from the software, except as applicable law expressly permits notwithstanding this restriction;
- remove or obscure attribution or issuer identification in the Service or in the credentials it issues.
3. Ownership and reservation of rights
The Service — including its source code, design, documentation, and the Signet name and marks — is and remains the exclusive property of Pulse Pedagogies. All rights not expressly granted in Section 2 are reserved.
Pulse Pedagogies may license, sell, or otherwise make the Service available to any other institution or party, on any terms, without restriction or notice. Nothing in these Terms grants the Institution exclusivity, a right of first refusal, or any interest in the Service beyond the licence granted here.
Where the Institution’s staff propose improvements or report defects, Pulse Pedagogies may incorporate them into the Service without obligation, and the resulting software remains Pulse Pedagogies’s property.
3.1 Provenance
Pulse Pedagogies represents that the Service was conceived and developed without use of the Institution’s time, funds, equipment, facilities, personnel, or confidential information, and that no part of it was created within the scope of any employment by the Institution. The Institution acknowledges that it asserts no ownership interest in, or licence to, the Service beyond the licence granted in Section 2, and that nothing in the parties’ relationship — including the employment of any individual by the Institution — transfers ownership of the Service to the Institution.
Institution Data is treated separately and is addressed in Section 5.
4. Independence, publicity, and non-endorsement
This section exists so that the Institution’s use of the Service confers no commercial advantage on Pulse Pedagogies and no personal advantage on any individual affiliated with it.
4.1 No publicity or reference rights
Pulse Pedagogies will not use the Institution’s name, logo, marks, likeness, or the existence or details of its deployment as a marketing reference, case study, testimonial, press mention, customer list entry, sales demonstration, or investor material, and will not identify the Institution as a user of the Service to any third party, except:
- with the Institution’s separate, specific, written authorization given by an officer empowered to grant it; or
- where disclosure is required by law or by a public-records obligation.
This restriction survives termination and is not waived by the Institution’s own public description of its programs.
4.2 Non-participation by affiliated employees
Where an individual affiliated with Pulse Pedagogies is concurrently employed by the Institution, that individual takes no part, in their institutional capacity, in the Institution’s evaluation, selection, adoption, renewal, modification, or termination of the Service, and does not advise, recommend, negotiate, approve, or vote on those decisions for the Institution. The Institution’s decisions regarding the Service are made by personnel who hold no interest in Pulse Pedagogies.
The parties intend that this arrangement be entered and maintained in accordance with the Institution’s conflict-of-interest policies and applicable law, and that any disclosure, recusal, or approval those require be completed by the Institution independently of Pulse Pedagogies.
4.3 No endorsement obligation
The Institution is not asked or required to endorse, promote, recommend, or speak favourably of the Service, to serve as a reference, or to participate in any evaluation, publicity, or sales activity. Declining to do so is not a breach of these Terms and has no effect on the licence.
5. Institution Data
“Institution Data” means everything the Institution and its users enter into or generate within its instance: staff records, sessions and events, registrations, attendance, issued credentials, badge artwork supplied by the Institution, and configuration.
- The Institution owns its Institution Data. Pulse Pedagogies claims no ownership of it.
- Pulse Pedagogies uses Institution Data only to operate and support the Service for that Institution. We do not sell it, and we do not use it to train machine learning models.
- The Institution may export its Institution Data at any time, and Pulse Pedagogies will provide a complete export on request in a structured, machine-readable format.
- Handling of personal information within Institution Data is described in the Privacy Policy.
6. Institution responsibilities
- Determining who is authorized to hold administrative roles, and revoking access when staff change roles or leave.
- The accuracy and lawfulness of the data it enters, and the decisions it makes using the Service — including approvals, attendance findings, and any compensation determined by reference to them.
- Its own compliance with applicable law and its own policies, including records retention and employee privacy obligations.
- Maintaining the third-party accounts the Service depends on, including its institutional identity provider and productivity suite.
7. Acceptable use
The Institution and its users will not use the Service to:
- store records of students or minors, which the Service is not designed to hold;
- issue credentials known to be false, or misrepresent the issuer of a credential;
- attempt to gain access to another institution’s data, or to circumvent the Service’s access controls;
- impair the Service’s operation for others, including through automated load not arising from ordinary use.
8. Support
Day-to-day questions about this deployment — a session, a registration, a roster, a credential — go to your organization’s Signet administrator. Questions about the licence, these Terms, or the Privacy Policy go to Pulse Pedagogies at the address in Section 15.
Support is provided on a reasonable-efforts basis. There is no guaranteed response time, no uptime commitment, and no obligation to provide new features.
Where an individual affiliated with Pulse Pedagogies is concurrently employed by the Institution, any assistance that individual provides in the course of that employment is provided to the Institution as their employer, and does not extend, alter, or create any support obligation of Pulse Pedagogies. That assistance ends when the employment ends. The licence in Section 2 survives; responsibility for operating and supporting the Institution’s instance thereafter rests with the Institution, unless the parties agree otherwise in writing.
Pulse Pedagogies will make reasonable efforts to give the Institution advance notice of any change in support arrangements, and to provide a data export and operational handover on request.
9. Third-party services
The Service depends on third-party providers for hosting, database, identity, mail, calendar, and certain optional design features. Those providers are identified in the Privacy Policy. Pulse Pedagogies is not responsible for their acts, omissions, availability, or changes to their terms, and interruptions originating with them are not a breach of these Terms.
10. Term and termination
The licence begins when the Institution is first given access and continues until terminated. The Institution may stop using the Service at any time. Consistent with the irrevocable licence granted in Section 2, Pulse Pedagogies may suspend or terminate access only where the Institution materially breaches these Terms and does not cure the breach within thirty (30) days of written notice, or immediately where continued access presents a genuine security or legal risk. Pulse Pedagogies may not terminate for convenience, for commercial reasons, or because the Institution has declined any request.
On termination the Institution’s right to access the hosted Service ends. Before access ends, and for at least thirty (30) days afterwards, Pulse Pedagogies will make the Institution’s Data available for export. Credentials already issued remain independently verifiable — each carries its own signature and metadata and does not depend on the continued operation of this Service. Sections 3, 4, 5, 11, 12, and 14 survive termination.
11. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Pulse Pedagogies does not warrant that the Service will be uninterrupted, error-free, or free of data loss. The Service is not a system of record for payroll, human resources, or student information, and must not be relied on as one.
12. Limitation of liability
To the fullest extent permitted by law, Pulse Pedagogies will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost data, lost profits, or business interruption, arising out of or relating to the Service.
Pulse Pedagogies’s total aggregate liability arising out of or relating to these Terms will not exceed the greater of the fees paid by the Institution for the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars (US$100). The Institution acknowledges that the Service is provided at no charge and that this allocation of risk is a basis of the parties’ agreement.
13. Changes to the Service and to these Terms
Pulse Pedagogies may modify the Service and may update these Terms. Where a change materially reduces the Institution’s rights, Pulse Pedagogies will make reasonable efforts to notify the Institution’s administrators in advance. Continued use after a change takes effect constitutes acceptance of the updated Terms. Superseded versions are available on request.
14. General
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. If any provision is held unenforceable, the remainder continues in effect. These Terms, together with the Privacy Policy and any separate written agreement between the parties, are the entire agreement regarding the Service.
Change of control. Neither party may assign these Terms without the other’s written consent, except to a successor to substantially all of its business. Any such successor to Pulse Pedagogies takes the Service subject to the Institution’s licence and to Section 4: a sale, merger, or assignment of Pulse Pedagogies does not revoke the licence, does not make it revocable, and does not release the publicity restriction in Section 4.1.
